Terms of Service

These terms govern access to Centiqs point-of-sale, ordering and restaurant-management software and related services. By using the service on behalf of a restaurant, you confirm that you are authorized to accept these terms for that restaurant.

Accounts and responsibility

Restaurants are responsible for accurate account and store information, safeguarding credentials, limiting staff access appropriately, maintaining compatible devices and connectivity, and activity performed through their accounts. Suspected unauthorized access must be reported promptly.

Acceptable use

You may not use Centiqs unlawfully; interfere with service operation or security; probe or bypass access controls; transmit malicious code; misuse customer or third-party information; impersonate another party; or use the service in a way that infringes another person’s rights.

Restaurant operations

The restaurant remains responsible for menu accuracy, prices, taxes, allergens, availability, order acceptance, food preparation, fulfilment, refunds and compliance with obligations applicable to its business. Centiqs provides software tools and does not operate the restaurant.

Third-party integrations

Centiqs may connect to services selected and authorized by the restaurant. Uber Eats and other delivery, payment or communications services are independent third parties. Their availability, data, fees, rules and performance are governed by their own agreements. Centiqs is not approved, sponsored or endorsed by Uber or another third party unless explicitly confirmed in writing by that third party.

Service availability and changes

We work to provide a reliable service but do not promise uninterrupted or error-free operation. Maintenance, internet failures, third-party outages, security events or circumstances outside reasonable control may affect availability. Features may be modified where reasonably necessary for security, compatibility, reliability or service improvement.

Intellectual property

Centiqs and its licensors retain rights in the software, branding, documentation and service components. Restaurants retain rights in their restaurant content and grant Centiqs the limited permission needed to host, process, transmit and display that content to provide enabled services.

Fees and billing

Any Centiqs fees are governed by the restaurant’s applicable order, subscription or written agreement. Third-party platform fees and commissions are separate and are payable under the restaurant’s agreements with those providers.

Suspension and termination

Access may be suspended or limited to address security risk, unlawful or abusive activity, non-payment under an applicable agreement, a material breach, or a third-party integration requirement. Restaurants may request account termination through support. Necessary export, retention and deletion arrangements should be completed before termination.

Disclaimers and limitation of liability

To the maximum extent permitted by applicable law, the service is provided “as is” and “as available,” without warranties not expressly stated in a written agreement. Centiqs is not responsible for independent third-party services. To the maximum extent permitted by law, Centiqs will not be liable for indirect, incidental, special, consequential or punitive damages, or loss of profits, revenue, goodwill or data. Any additional liability terms in a signed agreement take precedence.

Changes to these terms

We may update these terms as the service changes. The current published version and its update date will remain available here. Continued use after an effective update constitutes acceptance where permitted.
